Structuring and Closing Commercial Credit Facilities

We represent lenders at every stage of the transaction lifecycle, from initial term-sheet negotiations through closing and post-closing implementation. Our attorneys draft and negotiate credit agreements, loan documents, guaranties, collateral packages, intercreditor arrangements and related closing documentation tailored to each deal’s risk profile and commercial objectives.

We also manage due diligence coordination, review entity and organizational structures, assess collateral considerations, and help clients resolve deal-specific business points in a manner that supports both efficient execution and long-term enforceability.

Commercial Real Estate, SBA and Programmatic Lending

We represent lenders across a broad range of commercial real estate finance matters, including construction loans, multifamily financing, office and retail property lending, hotel finance, affordable housing transactions, loan participations, secondary-market transactions and portfolio-level real estate lending issues.

Our team also advises on SBA lending and other government-assisted lending programs, guiding lenders through documentation, eligibility, collateral, guaranty and closing requirements in a manner consistent with both program standards and institutional practices.

For institutions with recurring loan products or multi-state lending programs, we develop and maintain standardized form suites and templates designed to promote consistent, efficient execution across similar transactions.

Asset-Based, Commercial and Industrial (C&I), Middle-Market and Specialized Lending

Our practice includes asset-based lending, C&I lending, middle-market commercial lending, revolving credit facilities, term loans, loan participations, syndicated lending, letters of credit and other working-capital and cash-flow structures. We also advise on specialized finance matters such as equipment leasing and finance, law firm finance, public finance and selected government-assisted lending transactions.

Where appropriate, we help clients design lending structures that reflect industry dynamics, collateral complexity and borrower needs while remaining aligned with the lender’s risk tolerance and internal credit framework.

Documentation, Amendments and Portfolio Strategies

Our role does not end at closing. We assist clients with amendments, waivers, modifications, collateral adjustments, documentation updates aligned with institutional policies and portfolio transactions that arise after origination. We also advise on lending documentation frameworks and practical policy matters that help institutions manage lending activity with greater consistency and efficiency.

When a performing credit begins to show signs of stress, we work closely with our workout and recovery team to help the lender respond early, preserve its options, and position itself effectively.
