Taylor C. Gorman is a corporate associate and co-chairs the firm’s Entrepreneurship Through Acquisition & SMB Transactions practice. Taylor represents independent sponsors, search fund entrepreneurs, and first-time acquirers across the full deal lifecycle, as well as founder-led and family-owned businesses navigating sale processes.
Taylor supports clients from early LOI structuring and capitalization strategy through definitive documentation, SBA 7(a)/504 lender requirements, and post-closing governance. Her transactional experience includes asset and stock acquisitions, seller financing structures, rollover equity, contingent consideration mechanisms, and incentive equity arrangements. She regularly drafts and negotiates purchase agreements, disclosure schedules, employment and consulting agreements, transition services agreements, and operating agreements.
In addition to her transactional practice, Taylor is highly active in the national ETA ecosystem. Taylor is known for her pragmatic, solutions-oriented approach and her ability to move quickly and efficiently to drive transactions to closing.
