Gianna C. Riccoboni is an associate in the firm’s Corporate, M&A and Private Equity practice groups, where she represents founder-led, family-owned, and investor-backed companies, as well as strategic buyers, in complex lower middle-market transactions. Gianna regularly advises business owners preparing for a first-time sale or recapitalization, as well as entrepreneurs and operating companies navigating strategic acquisitions, bolt-ons, and internal reorganizations. Her practice spans a wide range of industries reflecting an ability to manage sophisticated deal dynamics in highly regulated and operationally intensive sectors.
Gianna focuses on guiding companies through every stage of the deal lifecycle, from pre-transaction planning and corporate clean-up to structuring, negotiation, and execution of definitive agreements. She has experience across asset and equity transactions, rollover equity structures, seller-financing arrangements, earnouts, working-capital and deferred-revenue adjustments, licensing and regulatory compliance matters, and post-closing transition frameworks. She regularly drafts and negotiates purchase agreements, disclosure schedules, employment and consulting agreements, transition services agreements, intercompany arrangements, and operating/shareholders agreements.
Gianna is known for her ability to help acquirers, founders and closely held businesses navigate sophisticated legal issues with clarity and pragmatism, balancing strong advocacy with an efficient, solutions-oriented approach that keeps deals on track. She is valued by clients for her responsiveness, commercial mindset, and disciplined attention to detail—qualities that make her a key member of the firm’s highly regarded lower-middle-market M&A practice. Prior to her legal career, Gianna worked at KPMG in forensic consulting.
