Deirdre M. Mitacek is a partner in the firm’s Corporate and Energy and Utility departments. She is also a member of the firm's Not-for-Profit and Education Law Practice Groups.  As part of the Not-for-Profit and Education Law Practice Group, Deirdre advises colleges and universities, public charities and private foundations. Deirdre frequently provides advice on corporate governance issues, obtaining and maintaining tax exempt status, conflicts of interest, charitable gifts, fundraising, endowments (including seeking cy pres relief to modify endowment restrictions), and compliance with state and federal laws. In addition, she advises not-for-profit and education clients on a variety of general matters, such as contract review, joint ventures, corporate transactions and dissolutions.

Deirdre also routinely advises clients on a variety of general corporate matters, including choice of entity, formation, and governance, as well as asset and stock sales, dissolutions and other transactions. Deirdre also has experience advising corporations and their shareholders on matters related to the federal income taxation of corporate transactions, such as choice of entity, acquisitions, mergers, tax-free reorganizations, distributions, and dissolutions. She also provides advice with regard to the taxation of pass-through entities including S corporations, limited liability companies, and partnerships.
