Deirdre M. Mitacek is a partner in the Corporate Department and a member of the firm’s Higher Education and Not-for-Profit Law Practice Groups. Deirdre has over two decades of experience advising not-for-profit clients, including institutions of higher education, public charities and private foundations, from formation to dissolution. She regularly counsels and guides clients on complex corporate governance issues, the development and implementation of policies, and compliance with state and federal laws such as FERPA and HIPAA. In addition, she works with the firm’s higher education and not-for-profit clients on a variety of other day-to-day matters, such as contract review, structuring joint ventures, obtaining and maintaining tax-exempt status, and other corporate transactions.
Deirdre regularly advises education clients on all aspects of charitable gifts, drafting scholarship and gift agreements, fundraising, the permissible use of charitable gifts, and compliance with the New York Prudent Management of Institutional Funds Act (“NYPMIFA”). Notably, Deirdre has significant experience seeking cy pres relief to modify endowment restrictions for institutions of higher education under a variety of circumstances.
Deirdre also routinely advises clients on general corporate and tax matters, including choice of entity, formation, dissolution and other transactions.
