Cullen and Dykman LLP is seeking a mid to senior level corporate associate (class years 2016–2022) to join its growing Mergers & Acquisitions and Private Equity and Financial Sponsors practice groups. The associate will work closely with both chairs of the M&A practice and will be expected to handle a mix of private equity transactions, traditional M&A, and general corporate matters. This position can be located in either our Uniondale, Long Island or New York City offices.
Responsibilities:
- – Represent buyers and sellers in M&A transactions across a range of industries, including lower middle-market deals, private equity-backed transactions, and founder-led exits.
- – Support independent sponsors, emerging managers, and private equity funds in platform and add-on acquisitions, as well as investment vehicle formation and capital raises.
- – Draft and negotiate a wide range of corporate documents including stock and asset purchase agreements, operating agreements, investor rights agreements, and fund documents.
- – Advise on general corporate matters, including entity formation, governance, compliance, and commercial agreements.
- – Interact directly with clients, including founders, portfolio company executives, sponsors, and family offices.
- – Strong drafting, project management, and communication skills.
- – Experience with private equity transactions and/or fund formation is a plus but not required.
- – Structured Finance experience is also a plus.
- – Able to work efficiently in a collaborative, entrepreneurial, and fast-paced environment.
Qualifications:
- – Admitted and in good standing in New York; admission to New Jersey bar is a plus but not required.
- – 2–8 years of relevant experience in M&A and general corporate law.

We offer a competitive salary, an excellent benefits package and a collaborative, friendly environment. The salary range for this role is $175,000 to $225,000 Actual salary will be commensurate with the candidate’s qualifications and relevant experience.
