John F. State is a partner in the firm’s Banking and Financial Services department. He focuses his practice on representing banks and non-bank lenders in complex commercial financing matters including asset-based lending, commercial lending and equipment leasing and finance transactions.
John has over 30 years of experience in commercial finance matters. He routinely handles commercial finance transactions involving transportation equipment (e.g., aircraft, railcars, tractors, and trailers); solar equipment (including transaction involving Internal Revenue Code § 48 tax credits); accounts receivable and inventory financing; working capital lines of credit; lease syndications (including loan and lease portfolio matters); master assignment agreements, servicing agreements, and remarketing agreements; the sale of lease rental streams and residual positions; and, manufacturing and assembly lines, medical high-tech equipment, and other types of equipment.
John has represented clients in all types of equipment leasing and finance transactions across the country. His experience includes designing complete documentation sets, systems, and processes to support commercial middle-market and small-ticket leasing platforms; structuring, negotiating and documenting single-investor, leveraged, vendor and international lease finance transactions; and structuring, negotiating and documenting equipment lease and loan portfolio sales and acquisitions and syndication transactions. John has extensive experience in virtually every type and size transaction, including tax leases, non-tax leases, sale-leaseback transactions, terminal rent adjustment clause (TRAC) and modified-TRAC leases, 1031 like-kind-exchange transactions, and international leases.
